Please read these Terms of Service (“Terms”) carefully before using any product or service provided by BlackNerd Studio Limited. By accessing or using our services, you agree to be bound by these Terms.

2. Our Services

BlackNerd Studio Limited provides AI-powered software products, including:

• Prepwise — an AI-powered IELTS Speaking practice application available on mobile platforms
• blacknerd.studio — our company website

Features, availability, and pricing of our services may change at any time. We will provide reasonable notice of material changes where practicable.

3. Eligibility

To use our services, you must:

• Be at least 13 years of age
• Have the legal capacity to enter into a binding agreement in your jurisdiction
• Not be prohibited from using our services under applicable law

If you are under 18, you confirm that you have obtained parental or guardian consent to use our services.

4. Account Registration

Some features of our services require you to create an account. You agree to:

• Provide accurate and complete information when registering
• Keep your login credentials confidential and not share them with others
• Notify us promptly at hello@blacknerd.studio if you believe your account has been compromised
• Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions & Payments

Prepwise and other products may offer free and paid subscription tiers. Where paid features are offered:

• Payments are processed by Apple App Store or Google Play (as applicable); their terms and refund policies apply to all transactions
• Subscriptions automatically renew unless cancelled before the renewal date
• Prices are displayed in the relevant App Store listing and may vary by region
• Refunds are handled in accordance with the applicable App Store policy; we do not process refunds directly

6. Acceptable Use

You agree not to:

• Use our services for any unlawful, harmful, or fraudulent purpose
• Attempt to reverse-engineer, decompile, or extract the source code of our applications
• Use automated scripts, bots, or scrapers to access our services
• Upload, transmit, or share content that is abusive, offensive, or infringes the rights of others
• Attempt to gain unauthorised access to any part of our systems or infrastructure
• Misrepresent your identity or affiliation with any person or organisation

7. Intellectual Property

All content, software, designs, trademarks, and intellectual property associated with BlackNerd Studio’s products (including Prepwise) are owned by or licensed to BlackNerd Studio Limited. Nothing in these Terms grants you any right to use our intellectual property beyond what is strictly necessary to use our services as intended.

Your own content (such as audio recordings made within Prepwise) remains yours. By using our services, you grant us a limited licence to process that content solely for the purpose of providing you with the service (e.g., generating feedback and scores).

8. Disclaimer of Warranties

Our services are provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee that:

• Our services will be uninterrupted, error-free, or secure
• AI-generated scores, feedback, or examiner simulations will perfectly replicate official IELTS examinations or results
• Results obtained through Prepwise will guarantee any particular outcome in an official IELTS test

Prepwise is a practice tool designed to support your preparation. It is not affiliated with, endorsed by, or associated with the British Council, IDP, or Cambridge Assessment English.

9. Limitation of Liability

To the fullest extent permitted by law, BlackNerd Studio Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, our services. Our total liability to you shall not exceed the amount you paid to us in the 12 months preceding the claim.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other matter that cannot be excluded under English law.

10. Third-Party Services

Our services may integrate with or link to third-party services (including AI providers, payment processors, and app stores). We are not responsible for the content, practices, or availability of third-party services. Your use of third-party services is subject to their own terms and privacy policies.

11. Termination

You may stop using our services at any time and delete your account from within the app settings. We reserve the right to suspend or terminate your access if you breach these Terms, with or without notice depending on the severity of the breach.

Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via in-app notice or email. Continued use of our services after the effective date of any changes constitutes your acceptance of the updated Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
