Please read these Terms of Use (“Terms”) carefully before using Prepwise. By downloading, accessing, or using the app, you agree to be bound by these Terms. If you do not agree, do not use Prepwise.

Prepwise is provided by BlackNerd Studio Limited. These Terms govern your use of the Prepwise app. For our website and company-wide terms, see our Company Terms of Service. Your use of Prepwise is also covered by our Prepwise Privacy Policy.

1. About Us

BlackNerd Studio Limited is a company registered in England & Wales. Our registered office is at 20 Reginald Road, London, E7 9HS, United Kingdom. You can contact us at hello@blacknerd.studio.

2. The App

Prepwise is an AI-powered application for practising IELTS Speaking. It uses voice input to simulate an examiner and to generate feedback and estimated band scores. Features, availability, and pricing may change over time; we will give reasonable notice of material changes where practicable.

Prepwise is an independent practice tool. It is not affiliated with, endorsed by, or associated with the British Council, IDP Education, or Cambridge Assessment English, or any official IELTS body.

3. Eligibility

To use Prepwise, you must:

• Be at least 16 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the app under applicable law

4. Your Account

Some features require an account. You agree to:

• Provide accurate, complete information when registering
• Keep your login credentials confidential and not share them
• Notify us at support@blacknerd.studio if you believe your account has been compromised
• Be responsible for activity that occurs under your account

5. App Stores, Licence & Purchases

Prepwise is licensed to you, not sold, for your personal, non-commercial use, in accordance with these Terms and the rules of the app store you downloaded it from.

Apple App Store. If you download Prepwise from the Apple App Store, your use is also governed by Apple’s Licensed Application End User Licence Agreement (the “Standard EULA”), available at Apple’s Standard EULA. Where these Terms conflict with the Standard EULA in relation to your App Store use, the Standard EULA prevails to the extent of the conflict. Apple is not responsible for the app or for providing support, and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Google Play. If you download Prepwise from Google Play, the Google Play Terms of Service also apply to your use.

Where Prepwise offers paid or subscription features:

• Payments are processed by the relevant app store; their terms and refund policies apply to all transactions
• Subscriptions renew automatically unless cancelled before the renewal date
• You can manage or cancel a subscription in your app store account settings
• Prices are shown in the app store listing and may vary by region
• Refunds are handled under the applicable app store policy; we do not process refunds directly

6. Acceptable Use

You agree not to:

• Use the app for any unlawful, harmful, or fraudulent purpose
• Reverse-engineer, decompile, or extract the source code of the app
• Use automated scripts, bots, or scrapers to access the app
• Upload or transmit content that is abusive, offensive, or infringes others’ rights
• Attempt to gain unauthorised access to our systems or infrastructure
• Misrepresent your identity or affiliation with any person or organisation

7. Intellectual Property & Your Content

All software, designs, trademarks, and intellectual property in Prepwise are owned by or licensed to BlackNerd Studio Limited. Nothing in these Terms grants you rights to our intellectual property beyond what is necessary to use the app as intended.

Your own content — such as audio recordings you make in the app — remains yours. You grant us a limited licence to process that content solely to provide the service to you (for example, generating feedback and scores), as described in the Prepwise Privacy Policy.

8. AI Output & No Guarantee of Results

Prepwise uses AI to generate practice feedback. You acknowledge that:

• AI-generated scores, feedback, and examiner simulations are practice aids and may not perfectly replicate official IELTS examinations or marking
• Results obtained through Prepwise do not guarantee any particular outcome in an official IELTS test

9. Disclaimer of Warranties

The app is provided “as is” and “as available” without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not guarantee that the app will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the fullest extent permitted by law, BlackNerd Studio Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the app. Our total liability to you shall not exceed the amount you paid us for the app in the 12 months before the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded under applicable law. If you are a consumer, these Terms do not affect your mandatory statutory rights.

11. Termination

You may stop using Prepwise at any time and delete your account from within the app. We may suspend or terminate your access if you breach these Terms, with or without notice depending on the severity of the breach.

Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

12. Changes to These Terms

We may update these Terms from time to time. We will revise the “Last updated” date above and notify you of material changes in the app or by email. Continued use after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of England and Wales, and disputes are subject to the courts of England and Wales. If you are a consumer resident elsewhere, you may also benefit from the mandatory consumer-protection laws of your country of residence.
